1. Scope

1.1. These terms apply to all quotes, agreements and services of to follow (sole proprietorship), trading as SayDov (“SayDov”), company number to follow.

1.2. SayDov works exclusively for businesses, not for consumers.

1.3. Deviations from these terms only apply if agreed in writing. The client’s general terms do not apply unless SayDov expressly accepts them in writing.

2. Quote and agreement

2.1. A quote is valid for 30 days.

2.2. The agreement is formed when the client signs the quote, including electronically. The quote, these terms and the data processing agreement together form the agreement. In case of conflict, the quote prevails.

3. The service

3.1. SayDov sets up the configuration for Claude Code (rulebook, safety filter, ways of working and guide) in a repository of the client, guides the installation for the client’s users, tailors the configuration to the client’s Salesforce environment, tests it together with the client and trains the users, as described in the quote.

3.2. The number of users is unlimited, unless the quote states otherwise.

3.3. SayDov performs the service with the care that can be expected of a good service provider. SayDov’s obligation is one of means, not of result, unless the quote expressly states otherwise.

4. What the client provides

4.1. The client provides:

  • Salesforce Enterprise, Unlimited or Performance Edition (or another edition with access to the Metadata API) and a sandbox;
  • a Claude Team licence or higher for every user, directly from Anthropic;
  • a GitHub organisation (a free organisation is enough) and an account for every user;
  • timely access, accurate information and the cooperation of the colleagues involved.

4.2. The client remains responsible for its agreements with Salesforce, Anthropic and GitHub, and for complying with them.

5. Handover

5.1. SayDov hands over once the setup has been tested together with the client in the sandbox and works as described in the quote.

5.2. The client reports any remarks within 10 working days after the handover. Without remarks within that period, the handover is deemed accepted. SayDov fixes remarks about parts that don’t work as described at no extra cost.

6. Support after the handover

6.1. For 6 months after the handover, SayDov provides support at no extra cost. It covers: help and answers to questions, adjustments to the setup, processing feedback, solving problems with the setup and onboarding new colleagues.

6.2. SayDov replies within 2 working days.

6.3. Larger Salesforce projects, integrations or other development work fall outside the support. SayDov carries these out on request at €75 per hour (excl. VAT) or under a separate quote.

6.4. After this period the assignment is complete. New assignments require a new quote.

7. Price and payment

7.1. Prices are in euro and exclude VAT.

7.2. SayDov invoices 50% when the quote is signed and the balance on handover.

7.3. Invoices are payable within 30 days of the invoice date.

7.4. In case of late payment, the interest and fixed compensation provided for by the Belgian Act of 2 August 2002 on combating late payment in commercial transactions are due.

7.5. Third-party costs, such as licences for Claude, Salesforce or GitHub, are not included.

8. Third-party services

SayDov is not responsible for the operation, availability, prices or changes of third-party services such as Salesforce, Anthropic and GitHub. SayDov takes their terms into account as they apply at the time of performance.

9. Changes in production

The client decides which changes go to its production environment and approves them in advance. Changes that the client’s users make with Claude are the client’s responsibility. The client makes backups of its Salesforce data.

10. Intellectual property

10.1. The client receives a non-exclusive and unlimited right to use the setup delivered, including the right to adapt it for its own use.

10.2. SayDov remains the owner of its general templates, ways of working, scripts and know-how, and may use them for other clients, without the client’s confidential information.

11. Confidentiality

Both parties keep the other party’s confidential information secret, during the agreement and for 3 years afterwards.

12. Personal data

For the personal data that SayDov processes on the client’s behalf, the parties sign a data processing agreement under Article 28 GDPR. After the support period ends, the client revokes SayDov’s access to its systems.

13. Liability

13.1. SayDov is only liable for damage that is the direct result of an error by SayDov.

13.2. SayDov is not liable for indirect damage, such as lost profit, lost revenue or loss of data.

13.3. SayDov’s total liability is limited to the amount the client has paid for the assignment concerned.

13.4. These limitations do not apply in case of fraud, intent or gross negligence on SayDov’s part.

14. Force majeure

Neither party is liable for a failure caused by force majeure. The party invoking force majeure informs the other party as soon as possible.

15. Termination

Either party may terminate the agreement with immediate effect by registered letter if the other party fails to remedy a serious breach within 15 days of a written notice of default. Services already delivered remain payable.

16. Governing law and jurisdiction

These terms and the agreement are governed by Belgian law. Disputes fall under the jurisdiction of the courts of the judicial district of SayDov’s registered office.

17. Language

These terms exist in Dutch and English. In case of differences, the Dutch text prevails.
